1. Agreement to Terms

By accessing or using Lapseproof (“the Service”), operated by Lapseproof Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Service.

2. Description of Service

Lapseproof provides a software platform that helps healthcare practices track and manage clinician license compliance, continuing education requirements, and renewal workflows. The Service includes a web-based dashboard, automated alerts, a jurisdiction requirements database, and related tools.

Lapseproof is an informational and organizational tool. We do not provide legal, regulatory, or professional compliance advice. You are solely responsible for ensuring your practice meets all applicable regulatory requirements.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription Plans and Billing

Lapseproof offers paid subscription plans billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period. Refunds are handled in accordance with our refund policy.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its systems
• Use the Service to store or transmit Protected Health Information (PHI) as defined by HIPAA, unless expressly authorized under a separate agreement
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts to access the Service without our written consent, except through our published API
• Resell, sublicense, or redistribute access to the Service

6. Data Ownership and Licensing

You retain ownership of all data you input into the Service (“Your Data”). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Data solely as necessary to provide the Service to you.

Our jurisdiction requirements database, software, documentation, and all other intellectual property remain our exclusive property.

7. API Access

If you subscribe to an API-enabled plan, additional terms may apply. API access is subject to rate limits and usage restrictions as outlined in our API documentation. We reserve the right to suspend API access for excessive use or abuse.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that our jurisdiction database is complete or current at all times. Regulatory requirements change frequently, and while we strive to keep our data up to date, delays may occur.

9. Limitation of Liability

To the maximum extent permitted by law, Lapseproof Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, without limitation, any damages resulting from missed license renewal deadlines, regulatory fines, or compliance failures. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Lapseproof Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export Your Data before termination by contacting support.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
